1. Agreement to Terms
By accessing or using the epilogue.co website ("Website"), purchasing our products, or using any services provided by Parametric Semiconductors S.R.L. ("Epilogue", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Website or services.
Age Requirement: You must be at least 18 years old or the age of majority in your jurisdiction, whichever is higher, to agree to these Terms. If you are under the age of majority, your parent or legal guardian must read and accept these Terms on your behalf.

2. Intellectual Property Rights
2.1 Our Intellectual Property
All content on this Website, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, software, and hardware designs, is the property of Epilogue or its content suppliers and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
2.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for personal, non-commercial purposes. This license does not include:
- Any resale or commercial use of the Website or its contents
- Any collection and use of product listings, descriptions, or prices
- Any derivative use of the Website or its contents
- Any downloading or copying of information for the benefit of another party
- Any use of data mining, robots, or similar data gathering and extraction tools
2.3 Hardware Protection
Our hardware products contain proprietary designs and technology. You agree not to reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, or organization of our hardware products.
3. Prohibited Uses
The Website and our products are licensed solely for personal, non-commercial use by individual end users.
3.1 Personal Use Limitations
You may access and use our website and products for personal purposes only. Any information, insights, or knowledge gained through such use:
- Must not be used in any professional or commercial capacity
- Cannot be shared, reported, or communicated in any business context
- Cannot form the basis of any commercial analysis, report, or decision

3.2 Acceptable Use

Good-faith editorial activities such as product reviews, streaming, commentary, and demonstrations are permitted provided they represent personal opinions and experiences.
3.3 Additional Prohibited Activities

4.2 Pricing and Availability
All prices are in USD unless otherwise stated. We reserve the right to change prices at any time without notice. Products are subject to availability and we reserve the right to limit quantities or discontinue products.
4.3 Order Acceptance
Your order constitutes an offer to purchase. We may accept, decline, or limit orders in our sole discretion. Order confirmation does not signify acceptance; acceptance occurs upon shipment.
4.4 Hardware and Software Integration
Certain hardware products work in conjunction with software. Use of accompanying software is governed by separate End User License Agreements. Hardware warranties are provided separately and do not cover software issues.
5. Accounts and Security
When creating an account, you must provide accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized use
- Ensuring your account information remains current
We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason in our sole discretion.
5.1 Account Verification and Fraud Prevention
We reserve the right to verify customer identity and may consolidate or terminate accounts belonging to the same person or entity. Use of false information, creation of multiple accounts to circumvent restrictions, or other fraudulent activity may result in immediate termination, order cancellation, and referral to law enforcement.
6. Copyright and Content Policy
6.1 Respect for Intellectual Property
Our products are designed for lawful use. Detailed software usage terms, including copyright compliance and archival copy provisions, are provided in the End User License Agreements included with our products.
6.2 Copyright Compliance
We respect intellectual property rights and comply with applicable copyright laws. To report copyright concerns, please contact us through our support center with detailed information about your claim.
False Claims Warning: Submitting false copyright claims may subject the claimant to liability for damages, including costs and attorneys' fees. We reserve the right to pursue legal action against those who submit fraudulent notices.
6.3 User Content and Reviews
By submitting content to us (reviews, feedback, suggestions), you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content.
6.4 Third-Party Content
This Website may display third-party content for informational purposes. All such content remains the property of its respective copyright holders. We are not affiliated with, endorsed by, or partnered with any third-party content owners referenced on this Website.
Notice and Takedown: If you believe any content on this Website infringes your intellectual property rights, you agree to first notify us through our support center before initiating any legal proceedings. We will respond to valid takedown requests within 5 business days. By using this Website, intellectual property holders agree that failure to provide such notice before initiating litigation shall constitute a waiver of any claims for damages, costs, or attorneys' fees.

7.1 Automated Decision-Making
We use limited automated decision-making to prevent fraud and ensure security. Our payment processor Shopify may temporarily block IP addresses or payment methods associated with suspicious activity. These blocks are temporary and do not constitute profiling under GDPR. You have the right to request human review of any automated decisions that significantly affect you.
8. Purchases and Payment
8.1 Payment Methods
We accept payment methods as displayed on the Website. You agree to provide current, complete, and accurate payment information. You authorize us to charge your payment method for all purchases.
8.2 Taxes and Duties
You are responsible for all applicable taxes, duties, and customs fees. Prices do not include these unless explicitly stated. International orders may be subject to import duties and taxes.
8.3 Currency
All transactions are processed in USD unless otherwise specified. Currency conversion fees may apply and are your responsibility.
8.4 Chargebacks and Payment Disputes
We encourage you to contact our support team before initiating any chargeback or payment dispute, as we can often resolve issues quickly. While we respect your rights under consumer protection laws, we reserve the right to challenge chargebacks we believe are unwarranted and may terminate accounts associated with fraudulent payment disputes.
9. Shipping and Delivery
Shipping terms, including available destinations, carriers, and estimated delivery times, are provided during checkout. While we strive for timely delivery, delays may occur due to carrier issues, customs processing, or force majeure events.
EU/EEA Customers: In accordance with EU consumer protection laws, risk of loss or damage passes to you only upon delivery of the goods to you or a person designated by you (other than the carrier). We remain responsible for the goods during transit.
Other Jurisdictions: For customers outside the EU/EEA, risk of loss and title transfer are governed by applicable local laws. In many jurisdictions, we remain responsible until delivery to you.
If your order is lost or damaged during shipping, please contact us immediately through our support center and we will work with the carrier to resolve the issue and ensure you receive your products.
10. Returns and Refunds
Returns and refunds are governed by our Return Policy, available at our support center. The Return Policy is incorporated by reference into these Terms. Products must be returned in original condition with all accessories and packaging.
11. Warranties and Disclaimers
11.1 Limited Hardware Warranty
Hardware products come with a limited warranty as described in the product documentation. This warranty is in addition to any statutory rights you may have under consumer protection laws.
11.2 Disclaimer of Warranties
EXCEPT FOR THE EXPRESS LIMITED WARRANTY, THE WEBSITE, PRODUCTS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11.3 No Warranty of Compatibility
We do not warrant that our products will be compatible with all games, systems, or configurations. Compatibility information is provided for guidance only.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EPILOGUE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless Epilogue and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website or products.
Prevailing Party Fees: In any dispute between you and Epilogue, whether in arbitration, litigation, or otherwise, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs from the non-prevailing party. This includes all fees incurred in connection with the dispute, including appeals, collection efforts, and bankruptcy proceedings. The determination of the prevailing party and the amount of reasonable attorneys' fees shall be made by the arbitrator or court. You acknowledge that this provision creates substantial financial risk for bringing unsuccessful claims against us.
14. Export Control
You may not use, export, or re-export our products except as authorized by Romanian law, European Union regulations, and the laws of the jurisdiction in which the products were obtained. Products may not be exported to embargoed countries or to persons on any government's prohibited party list.
By using our products, you represent that you are not located in an embargoed country and are not on any prohibited party list.
Enhanced Screening: For orders exceeding $500 or shipping to certain high-risk destinations, we may require additional identity verification and end-use documentation. Providing false information in connection with export controls is a criminal offense. Use of straw purchasers or freight forwarders to circumvent export restrictions will result in order cancellation and reporting to relevant authorities.
15. Third-Party Services
Our Website may contain links to third-party websites or services. We are not responsible for the content, accuracy, or practices of third-party sites. Your use of third-party services is at your own risk and subject to their terms and policies.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified by posting the updated Terms and changing the "Last updated" date. Your continued use after changes constitutes acceptance of the modified Terms.
We encourage you to review these Terms periodically. If you disagree with any changes, you must stop using our Website and services.
17. Dispute Resolution and Arbitration
17.1 Mandatory Pre-Arbitration Resolution Process
The parties agree that a structured, multi-tiered resolution process is the most cost-effective and constructive method for resolving disputes. Therefore, as a mandatory condition precedent to the initiation of arbitration, the parties shall exhaust the following procedures in sequence:
(a) Good Faith Negotiation (30 days): The party raising the dispute must provide written notice to the other party describing the nature and factual basis of the dispute in reasonable detail. For a period of 30 days following receipt of the notice, authorized executives of the parties with full settlement authority shall meet and confer, in person or by video conference, and attempt in good faith to negotiate a resolution to the dispute.
(b) Mandatory Mediation (45 days): If the dispute is not resolved through negotiation within the 30-day period, the parties shall jointly initiate and participate in good faith in a mediation proceeding. The mediation shall be administered by the International Chamber of Commerce (ICC) in Bucharest, Romania, and conducted in accordance with the ICC Mediation Rules. Each party shall initially bear its own costs of mediation.
(c) Cooling-Off Period (14 days): Following the formal conclusion of the mediation, the parties shall observe a final 14-day cooling-off period before initiating arbitration, during which time settlement discussions may continue.
17.2 Binding Arbitration
Any dispute not resolved through the pre-arbitration process shall be resolved by binding arbitration. For consumers, arbitration may be conducted via video conference or, at your option, in your home jurisdiction through a recognized arbitration provider. For business disputes, arbitration shall be conducted under ICC Rules in Bucharest, Romania. Each party shall bear their own arbitration costs unless the arbitrator determines otherwise.
Discovery: For individual consumers, discovery shall be limited to what is necessary for fair resolution of the dispute. For business entities, organizations, or individuals acting in a commercial capacity, discovery shall be strictly limited to: (i) documents directly relevant to the specific claims and defenses asserted; (ii) no more than 5 document requests per party; (iii) no depositions unless ordered by the arbitrator for exceptional circumstances; (iv) no requests for electronically stored information beyond what is reasonably accessible. Commercial parties seeking discovery beyond these limits must first post a €25,000 bond to cover the opposing party's costs. The arbitrator may impose sanctions for discovery requests made in bad faith.
30-Day Opt-Out Right: You may opt out of this arbitration agreement by sending written notice to legal@epilogue.co within 30 days of first accepting these Terms. Your written opt-out must include your name, address, and a clear statement that you do not wish to resolve disputes through arbitration.
17.3 Class Action Waiver
YOU AND EPILOGUE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Consumer Law Exception: If you are a consumer entitled to certain protections under mandatory local law (which may allow you to bring a dispute in your local courts or provide other unwaivable rights), those protections are not waived. This Section applies only to the extent permitted by applicable law.
17.4 Exceptions and Fallback Forum
This arbitration agreement does not apply to claims for injunctive relief for intellectual property violations, which may be brought in any court of competent jurisdiction. Any dispute not subject to arbitration shall be subject to the exclusive jurisdiction of the courts located in Bucharest, Romania.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
19. General Provisions
19.1 Entire Agreement
These Terms, together with our Privacy Policy and any product-specific terms, constitute the entire agreement between you and Epilogue regarding the Website and supersede all prior agreements.
19.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
19.3 Waiver
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
19.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
19.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
20. Third-Party Content and Metadata
This Website may display third-party content including game titles, publisher names, logos, artwork, and other metadata ("Third-Party Content") for identification, reference, and informational purposes only. All such content remains the property of its respective copyright holders. We make no claim of ownership over any Third-Party Content.
This Third-Party Content is provided "as is" without warranties of any kind. We are not responsible for the accuracy, completeness, or appropriateness of such content. Your use of or reliance on any Third-Party Content is at your own risk.

22. Cooperation with Investigations
If you report or we suspect fraudulent, abusive, or illegal activity, you agree to cooperate with Epilogue and its affiliates in any investigation. We may participate in governmental or private legal investigations relating to your use of our products and services. You agree to provide any information reasonably requested to verify compliance with these Terms.
Note: We take fraud seriously and will report suspected illegal activity to appropriate authorities. Non-cooperation with legitimate investigations may result in account termination and denial of future services.
23. Streaming and Content Creation
While our products are licensed for personal use, you may stream, record, or broadcast your use for entertainment, educational, or commentary purposes. However, you are solely responsible for ensuring that any content displayed (including third-party content) is used in compliance with applicable laws and the rights of content owners. We assume no liability for your streaming, recording, or broadcasting activities.
